1. Acceptance of Terms

Welcome to AI Visibility Intelligence ("we," "our," "us," or the "Platform"). These Terms of Service ("Terms") govern your access to and use of our website, platform, APIs, and related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our Services.

These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and AI Visibility Intelligence.

2. Account Registration and Eligibility

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By using our Services, you represent and warrant that you meet these requirements.

2.2 Account Registration

To use our Services, you must:

• Provide accurate, complete, and current registration information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

2.3 Account Types

We offer different account types with varying features and pricing:

• Free Trial: 14-day trial with limited features
• Pro: $499/month (6 competitors, 4 AI models, 200 queries/day)
• Enterprise: $2,499/month (unlimited, white-label, API, SLA)
• Agency: $999/month per client portal

3. Description of Services

Our Platform provides AI visibility intelligence services, including:

• Querying AI models (ChatGPT, Claude, Gemini, Perplexity, Grok) on your behalf
• Analyzing AI responses for brand mentions, rankings, and recommendations
• Generating visibility scores and competitive intelligence
• Providing alerts for visibility changes
• Tracking multi-turn conversations and citation patterns
• Content gap analysis and optimization recommendations

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

4. Acceptable Use Policy

4.1 Permitted Use

You may use our Services only for:

• Monitoring your brand's visibility in AI model responses
• Competitive intelligence and market research
• Optimizing your content for AI recommendations
• Business analytics and reporting

4.2 Prohibited Use

You may NOT:

• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems or user accounts
• Use automated tools (bots, scrapers) to access our Services without permission
• Reverse engineer, decompile, or disassemble our software
• Interfere with or disrupt our Services or servers
• Upload malicious code, viruses, or harmful content
• Impersonate any person or entity, or misrepresent your affiliation
• Use our Services to spam, harass, or abuse others
• Resell or redistribute our Services without authorization
• Exceed your plan's usage limits or query quotas
• Access or collect data from AI models in violation of their terms

4.3 Rate Limits

Your account is subject to rate limits based on your subscription plan. Exceeding these limits may result in temporary throttling or account suspension.

5. Payment and Billing

5.1 Subscription Fees

Paid plans are billed monthly or annually in advance. All fees are in U.S. dollars and are non-refundable except as required by law or as expressly stated in these Terms.

5.2 Payment Method

You authorize us to charge your payment method (credit card or other approved method) for all fees. You must provide current, complete, and accurate billing information.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan.

5.4 Failed Payments

If a payment fails, we may suspend your access to paid features until payment is received. After 30 days of non-payment, we may terminate your account.

5.5 Taxes

Fees do not include applicable taxes (sales tax, VAT, GST, etc.). You are responsible for paying all taxes associated with your purchase.

5.6 Price Changes

We may change our prices with 30 days' notice. Price changes will take effect at the start of your next billing period. If you do not agree to the price change, you may cancel your subscription before it renews.

6. Free Trial

We may offer a 14-day free trial for new users. During the trial:

• No credit card is required to start
• You have access to limited features and query quotas
• Your data will be retained for 30 days after trial expiration
• You may cancel at any time without charge

We reserve the right to limit or modify free trial eligibility at any time.

7. Cancellation and Termination

7.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial months.

7.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Pose a security risk to our platform or other users

7.3 Effect of Termination

Upon termination:

• Your access to the Services will be immediately revoked
• You will no longer be charged
• Your data will be retained for 30 days, then permanently deleted
• You may request a data export before deletion

8. Intellectual Property

8.1 Our IP

All rights, title, and interest in the Services, including software, content, trademarks, and trade secrets, are owned by us or our licensors. You may not copy, modify, or create derivative works without our written permission.

8.2 Your Data

You retain all rights to your data (queries, brand information, etc.). By using our Services, you grant us a limited license to use your data to provide the Services, including:

• Processing queries through AI models
• Analyzing responses and generating reports
• Creating aggregated, anonymized benchmarks

8.3 AI Model Responses

AI model responses are generated by third parties (OpenAI, Anthropic, etc.) and may be subject to their terms. We do not guarantee accuracy, completeness, or ownership of AI-generated content.

9. Disclaimers and Limitations

9.1 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

9.2 No Warranties

We disclaim all warranties, including:

• Merchantability, fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy or reliability of AI model responses
• Uninterrupted or error-free service
• Security of data transmission

9.3 Third-Party Services

Our Services integrate with third-party AI models (OpenAI, Anthropic, Google, Perplexity, xAI). We are not responsible for their availability, accuracy, or compliance with their terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of substitute services
• Damages arising from unauthorized access to your account

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or damages, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, damages, losses, and expenses (including attorney fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your data or content

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@sig.ai to attempt to resolve the dispute informally.

12.2 Arbitration

Any dispute that cannot be resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration will be conducted in English in the United States.

12.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions.

12.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or violation of the Acceptable Use Policy.

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform. Your continued use after changes take effect constitutes acceptance.

13.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services.

13.5 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

13.6 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.
